Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 26, 2016, Mr. William M. Sheriff resigned effective immediately from the Board of Directors of Timberline Resources Corporation (the “Company”).  Mr. Sheriff’s decision to resign was due to his other significant time commitments and obligations and was not the result of any disagreement with the Company or from any matter relating to the Company’s operations, policies or practices.  The Company would like to thank Mr. Sheriff for his service.

Item 7.01 Regulation FD Disclosure.

On April 29, 2016, the Company issued a press release entitled “Timberline Resources Announces Resignation of Director”.  A copy of the press release is attached as Exhibit 99.1 and is incorporated herein by reference.
