On April 28, 2016, Regional Management Corp. (the “Company”) issued a press release announcing financial results for the quarter ended March 31, 2016. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. On April 28, 2016, the Company will host a conference call to discuss financial results for the quarter ended March 31, 2016. A copy of the presentation to be used during the conference call is attached hereto as Exhibit 99.2 and is incorporated herein by reference.

The Company held its 2016 Annual Meeting of Stockholders (the “Annual Meeting”) on April 27, 2016. At the Annual Meeting, the stockholders of the Company voted on the following proposals, which are described in greater detail in the proxy statement filed with the Securities and Exchange Commission on March 31, 2016 (the “Proxy Statement”). The results of the voting are presented below.

Election of Directors

The Company’s stockholders elected the seven nominees named in the Proxy Statement to serve as members of the Company’s Board of Directors until the next annual meeting of stockholders or until their successors are elected and qualified, based on the following final voting results:

Ratification of Independent Auditor

The Company’s stockholders approved the ratification of RSM US LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2016, based on the following final voting results:
