Item 2.02 Results of Operations and Financial Condition.

On April 28, 2016, First Cash Financial Services, Inc. (the “Company” or “First Cash”) issued a press release announcing its financial results for the three month period ended March 31, 2016 and the Board of Directors’ declaration of a second quarter cash dividend of $0.125 per common share (the “Earnings Release”). The Earnings Release is attached hereto as Exhibit 99.1 and is incorporated by reference in its entirety into this Item 2.02.

Item 8.01 Other Events

On April 28, 2016, First Cash and Cash America International, Inc., a Texas corporation (“Cash America”), issued a joint press release announcing the execution of an Agreement and Plan of Merger (the “Merger Agreement”) entered into among First Cash, Cash America and Frontier Merger Sub, LLC, a Texas limited liability company and a direct wholly owned subsidiary of First Cash, pursuant to which the companies will combine in an all-stock merger of equals. A copy of the joint press release is attached hereto as Exhibit 99.2 and is incorporated herein by reference.

In addition, on April 28, 2016, First Cash and Cash America will hold a joint investor conference call (with simultaneous webcast) to announce the execution of the Merger Agreement. A copy of the investor presentation used on the conference call regarding the proposed transaction is attached hereto as Exhibit 99.3 and is incorporated herein by reference.

The information required by Item 1.01, including a copy of the Merger Agreement, will be filed in a separate Current Report on Form 8-K.
