ITEM 2.02

RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On April 28, 2016, Bar Harbor Bankshares (the “Company”) issued a press release announcing its earnings results of operations for the three months ended March 31, 2016.  A copy of the press release is being furnished as Exhibit 99.1. The press release is being furnished pursuant to Item 2.02, and the information therein shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, or otherwise subject to the liabilities under that Section.  Furthermore, the information contained in Exhibit 99.1 shall not be deemed to be incorporated by reference into the filings of the Company under the Securities Act of 1933.
