Item 8.01. Other Events.

On April 22, 2016, Virgin America Inc. (“Virgin America” or the “Company”) issued a press release (the “Press Release”) announcing the decision of the Company’s Board of Directors to postpone the Company’s annual meeting of stockholders scheduled to be held on May 10, 2016 pending the Company’s proposed merger with Alaska Air Group, Inc. (“Alaska Air Group”). A copy of the Press Release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.

Additional Information About the Merger and Where to Find It

This communication may be deemed to be solicitation material in respect of the merger of Virgin America with a wholly-owned subsidiary of Alaska Air Group.
