On April 19, 2016, the Registrant issued a press release to report earnings for the quarter ended March 31, 2016. A copy of the press release is furnished with this Form 8-K as Exhibit 99.1 and incorporated herein by reference.

Item 8.01. Other Events.
On April 19, 2016, the Board of Directors of the Registrant declared a 10% stock dividend payable to shareholders of record as of May 4, 2016 and to be paid on May 18, 2016. The Registrant issued a press release on April 19, 2016 announcing the dividend a copy of which is filed as Exhibit 99.2 hereto and is incorporated by reference herein.
