Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On April 15, 2016, Black Stone Minerals GP, L.L.C., the general partner (the “General Partner”) of Black Stone Minerals, L.P. (the “Partnership”), entered into Amendment No. 1 to First Amended and Restated Agreement of Limited Partnership of the Partnership (“Amendment”), effective (in accordance with Section 761(c) of the Internal Revenue Code of 1986, as amended) as of May 6, 2015, to provide for proration of the Partnership’s annual income, gain, loss, and deduction, for U.S. federal income tax purposes, on a monthly basis for allocation to the General Partner and the limited partners. This proration methodology is consistent with practices for most master limited partnerships.

The foregoing description of the Amendment does not purport to be complete and is qualified in its entirety by reference to the complete text of the Amendment, a copy of which is filed as Exhibit 3.1 to this Current Report and is incorporated herein by reference.
