ITEM 5.02. DEPARTURE OF DIRECTOR OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS.

On April 3, 2016, Richard Shao has resigned as a Director, President, and CFO from Sterling Group Ventures and all its subsidiaries (the "Company") for personal reasons. He has assured the Board that he will provide assistance in any way he can to make this a smooth transition. The Board accepted Richard's resignation and Christopher Tsakok was appointed as President of the Company and Robert Smiley was appointed as CFO. We thank Richard for his years of services to the Company and wish him well in his future endeavors.
