On April 7, 2016, Callidus Software Inc. (“Callidus”) issued a press release announcing its acquisition of certain assets of ViewCentral, LLC, a privately held Delaware limited liability company that is a learning management solution provider to organizations of all sizes. A copy of the press release is furnished as Exhibit 99.1 and incorporated by reference herein.
