Reference is made to the disclosure contained in Item 7.01 of this Report, which disclosure is incorporated herein by reference.

Tecnoglass Inc. (the “Company”) is hereby providing its unaudited financial statements for the fiscal year ended December 31, 2015 (the “IFRS Financial Statements”) prepared in accordance with International Financial Reporting Standards. The Company is required to provide such IFRS Financial Statements to the Colombia Stock Exchange, the Bolsa de Valores de Colombia, as part of the exchange’s listing requirements. The audit of the Company’s financial statements (“GAAP Financial Statements”) in accordance with generally accepted accounting principles of the United States has not yet been completed and is subject to completion of various financial and accounting procedures. Accordingly, the GAAP Financial Statements may differ from those presented in the IFRS Financial Statements following completion of such procedures.
The information furnished under this Item 7.01, including the exhibit related thereto, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, nor shall it be deemed incorporated by reference in any disclosure document of the Company, except as shall be expressly set forth by specific reference in such document.
