Alere Inc., a Delaware corporation (“Alere” or the “Company”), has determined that it no longer plans to divest its stake in Swiss Precision Diagnostics (“SPD”), a 50/50 joint venture with Procter & Gamble Company for the development, manufacture, marketing and sale of consumer diagnostic products including over-the-counter pregnancy and fertility and ovulation tests.
