EXPLANATORY NOTE
Net Element, Inc. is filing this Amendment No. 1 on Form 8-K/A to its Current Report on Form 8-K filed with the Securities and Exchange Commission on March 31, 2016 (the “Original Filing”) solely to correct a typographic error on the cover page. The Date of report (Date of earliest event reported) is March 31, 2016, not March 31, 2015. No other changes are being made to the Original Filing.
