Regulation FD Disclosure.
As previously announced on February 16, 2016, the Board of Directors of Black Box Corporation (the “Company”) increased the share repurchase program by 1 million shares and stated that, subject to the Company’s cash flow, market conditions, stock price, leverage and other factors, the Company could repurchase up to $7 million of its common stock during the quarter ended March 31, 2016. The Company also noted that there could be no assurance as to the timing or amount of such repurchases.
During the fourth quarter of Fiscal 2016, and based on those factors, the Company purchased 366,358 shares of its common stock for $4,299,779 resulting in a weighted-average purchase price of $11.74.
The Company used remaining cash flow generated during the fourth quarter of Fiscal 2016 to fund operations and to pay down its long-term debt.
