Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On March 21, 2016, Tangoe, Inc. (the “Company”), received a notification from the Nasdaq Stock Market (“Nasdaq”) informing the Company that since it had not filed its Form 10-K for the fiscal year ended December 31, 2015, the Company was not in compliance with Nasdaq Listing Rule 5250(c)(1). This rule requires listed companies to timely file all required periodic financial reports with the Securities and Exchange Commission.  The Nasdaq notification letter specifies that the Company has until May 20, 2016 to submit a plan to regain compliance with this listing requirement.  The Company’s common stock will continue to trade on the Nasdaq Global Select Market pending Nasdaq’s review of the Company’s plan to regain compliance.

On March 24, 2016, the Company issued a press release announcing its receipt of the Nasdaq notification letter. A copy of the press release is attached as Exhibit 99.1 and is incorporated herein by reference.
