Item 8.01 Other Events
On March 24, 2016, R.R. Donnelley & Sons Company, a Delaware corporation (the “Company”), issued a press release announcing the Chief Executive Officers and Board Leadership of LSC Communications, Inc., Donnelley Financial Solutions, Inc. and R. R. Donnelley & Sons Company to be effective as of the consummation of the previously announced spinoff transactions which the Company expects to complete in October 2016.
A copy of the press release is attached hereto as Exhibit 99.1 and is hereby incorporated by reference herein.
