Item 2.02.
Results of Operations and Financial Condition.

On March 23, 2016, HMS Income Fund, Inc. (the “Company”) increased its public offering price from $8.50 per share to $8.60 per share. The increase in the public offering price will be effective as of the Company's March 24, 2016 weekly closing.

In accordance with the Company’s share pricing policy, its board of directors determined that an increase in the public offering price per share was warranted following an increase in the Company’s estimated net asset value per share in order to ensure that the Company's net asset value per share does not exceed its net offering price per share. As a result of the increase in the Company’s public offering price per share, the maximum combined sales commission and dealer manager fee per share and the net proceeds per share will correspondingly increase from $0.85 to $0.86 and $7.65 to $7.74, respectively.

Other Events.

Second Quarter 2016 Distributions

With the authorization of its board of directors, the Company recently declared distributions for the period from April 1, 2016 to June 30, 2016 with respect to shares of its common stock, par value $0.001 per share (the "Common Stock"). These distributions will be calculated based on stockholders of record each day from April 1, 2016 through June 30, 2016 in an amount equal to $0.00191781 per share of Common Stock per day. Distributions will be paid on the first business day following the completion of the month to which they relate and will be paid in cash or reinvested in Common Stock for those participating in the Company’s distribution reinvestment plan.
