(b) By letter dated March 21, 2016, Philip A. Norcross informed the Boards of Directors of Sun Bancorp, Inc. (the “Company”) and its wholly-owned subsidiary, Sun National Bank (the “Bank”), that effective March 23, 2016, he was resigning from the Boards of Directors of the Company and the Bank to focus his time and effort on other initiatives. Effective upon Mr. Norcross’ resignation, the Boards of Directors of the Company and the Bank decreased the size of the Boards from twelve to eleven members.
