Explanatory Note

This Amendment No. 1 on Form 8-K/A (this "Form 8-K/A") is an amendment to the Current Report on Form 8-K of Mendocino Brewing Company, Inc. (the "Company"), filed on March 18, 2016 (the "Original Form 8-K"). The Original Form 8-K was inadvertently missing Exhibit 10.1. The Company is filing this Form 8-K/A to include the Exhibit 10.1.
