Item 2.02 | Results of Operations and Financial Condition. |
On March 18, 2016, Steadfast Income REIT, Inc. (the “Company”) issued an earnings release announcing its financial results for the year ended December 31, 2015. A copy of the earnings release is being furnished as Exhibit 99.1 to this Form 8-K.
The information contained in this Item 2.02, including the related information set forth in the earnings release attached hereto as Exhibit 99.1 and incorporated by reference herein, is being “furnished” and shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section, nor shall such information be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, except as shall be expressly set forth by the specific reference in such filing.

Declaration of Cash Distribution
On March 15, 2016, the Company’s board of directors approved and authorized a daily distribution to stockholders of record as of the close of business on each day for the period commencing on April 1, 2016 and ending on June 30, 2016. The distributions will be calculated based on 366 days in the calendar year and will be equal to $0.001958 per share of the Company’s common stock, which is equal to an annualized distribution rate of 7.0%, assuming a purchase price of $10.24 per share. The distributions for each record date in April 2016, May 2016 and June 2016 will be paid in May 2016, June 2016 and July 2016, respectively. The distributions will be payable to stockholders from legally available funds therefor.
