Item 8.01 Other Events

On March 15, 2016, the shareholders of American Chartered Bancorp, Inc. (“American Chartered”) approved the Agreement and Plan of Merger, dated as of November 20, 2015, by and between MB Financial, Inc. (“MB Financial”) and American Chartered, pursuant to which American Chartered will merge with and into MB Financial.
 
The merger remains subject to regulatory approvals and is expected to be completed around June 30, 2016.
