Item 8.01 Other Events

On March 17, 2016, Independent Bank Corp. (“Independent”) (NASDAQ: INDB), the parent of Rockland Trust Company (“Rockland Trust”), announced the March 17, 2016 signing of a definitive agreement and plan of merger under which Independent will acquire New England Bancorp, Inc. (“New England Bancorp”) and Rockland Trust will acquire Bank of Cape Cod (the “Merger”).

A copy of the joint press release issued by Independent and New England Bancorp announcing the transaction is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
