Item 8.01 – Other Events.
On March 15, 2016, Ashford Hospitality Prime, Inc. issued a press release in response to (a) the dismissal by Sessa Capital (“Sessa”) of a lawsuit filed by Sessa in the Circuit Court for Baltimore City, Maryland and (b) counterclaims filed by Sessa in the United States District Court for the Northern District of Texas. A copy of this press release is attached hereto as Exhibit 99.1.
