Effective March 10, 2016, the Board of Directors of Intrexon Corporation (the “Company”) amended and restated the Company’s Bylaws to require that certain Virginia courts be the exclusive jurisdiction for adjudication of internal disputes and to provide for the severability of each provision of the Company’s Bylaws.
This description is qualified in its entirety by reference to the Amended and Restated Bylaws filed as Exhibit 3.1 and incorporated by reference herein.
