On March 7, 2016, the Company issued an aggregate of 507,070 shares of Common Stock pursuant to the terms of a Software License and Development Agreement. The shares have an aggregate value of $765,000 based on the 30 day trading day average of the Company's Common Stock immediately prior to July 29, 2015, the date that the Software License and Development Agreement was executed.
The Common Stock issued in the forgoing transaction was issued in accordance with the exemption provided by Section 4(2) of the Securities Act of 1933, as amended.
