Item 1.01. Entry Into a Material Definitive Agreement.
On March 8, 2016, SUPERVALU INC. (the “Company”) entered into an Aircraft Time Sharing Agreement with Mark Gross, the Company’s President and Chief Executive Officer, with respect to Mr. Gross’s personal use of Company-provided aircraft. The agreement was entered into in furtherance of the terms of the employment letter agreement between the Company and Mr. Gross filed as an exhibit to the Company’s Form 8-K filed on February 3, 2016. The Aircraft Time Sharing Agreement requires Mr. Gross to reimburse the Company for the incremental costs of his use of Company-provided aircraft for personal purposes.
