ITEM 5.02. DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On and effective March 1, 2016, Mr. Xiangqian Li resigned as Chairman, director, Chief Executive Officer, President and Secretary of the Company. Mr. Li’s resignation was due to personal reasons and not because of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

On the same date, the Board of Directors of the Company appointed Mr. Yunfei Li as Chairman, Chief Executive Officer, President and Secretary of the Company.

Mr. Yunfei Li, 49, has more than 20 years management experience in industries of real estate development, battery and new energy. Since May 2014, he has been Vice President of the Company’s subsidiary, Dalian BAK Power Battery Co., Ltd in charge of the company’s construction of manufacturing facilities, government relationship and development of new customers. From May 2010 to May 2014, Mr. Yunfei Li held management positions of various new energy development and real estate development companies in China. Prior to that, he was Director of Construction Department, Director of Comprehensive Management Department and Assistant to President of Shenzhen BAK Battery Co., Ltd., a former subsidiary of the Company, from March 2003 to May 2010. Mr. Yunfei Li holds a Bachelor’s degree in Civil Engineering from Liao Yuan Vocational Technical College.

Mr. Yunfei Li is entitled to receive an annual salary of RMB 144,000 (approximately $22,086) from the Company.

There is no family relationship that exists between Mr. Yunfei Li and any directors or executive officers of the Company. In addition, there are no arrangements or understandings between Mr. Yunfei Li and any other persons pursuant to which he was selected as a director or an officer of the Company and there are no transactions between the Company and Mr. Yunfei Li that would require disclosure under Item 404(a) of Regulation S-K.
