Item 3.02 Unregistered Sales of Equity Securities.


On February 24, 2016 Neah Power Systems (“we” or the “Company”)  received a payment on a February 23, 2016 Securities Purchase Agreement (the “Securities Agreement”) with Union Capital LLC (the “Investor”), for the sale of a 8% Convertible Promissory Note in the principal amount of $50,000 which includes legal expenses in the amount of $7,500.  The notes bear interest at the rate of 8% per annum.  All interest and principal must be repaid on or prior to February 23, 2017.  The note is convertible into common stock at the price of sixty percent (60%) of the lowest trading price in the prior 20 trading days. The Company has the option to prepay the $50,000 note at the rate of 120% of the face amount if repaid within the first 60 days, 135% between 61 and 120 days, and 140% between 121 days and 180 days.

The Note is a debt obligation arising other than in the ordinary course of business, which constitutes a direct financial obligation of the Company. The Note also provides for penalties and rescission rights if we do not deliver shares of our common stock upon conversion within the required timeframes.

The purchase and sale of shares of Common Stock pursuant to the Securities Agreement are being made pursuant to a private placement transaction exemption under Section 4(2)(a) of the Securities Act of 1933, as amended, and Rule 506 of Regulation D promulgated thereunder. The offering was not conducted in connection with a public offering and no public solicitation or advertisement was made or relied upon by the investors in connection with the offering.
