This amendment to the Form 8-K filed on February 29, 2016 reports on the closing of the previously reported offering and includes a legal opinion of Arnold & Porter LLP.

Closing of Financing. On March 2, 2016, ArQule, Inc., a Delaware corporation, closed the financing first reported on February 26, 2016 and the receipt of gross proceeds of approximately $15.3 million therefrom.
