Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
Effective February 25, 2016, the Board of Directors of WhiteHorse Finance, Inc. (the “Company”) amended the Company’s bylaws (as amended and restated from time to time, the “Bylaws”) to provide that certain courts in Delaware will be the forum for certain litigation. In addition, provisions regarding the ability of stockholders to act by written consent and the terms of directors elected by the Board of Directors to fill vacancies were amended to track identically the corresponding language in the Company’s certificate of incorporation. The Bylaws are attached to this Current Report on Form 8-K as Exhibit 3.1.
