Item 8.01. Other Events.

On February 29, 2016, Western Digital Corporation (“Western Digital” or the “Company”) issued a press release announcing that Institutional Shareholder Services Inc. (“ISS”) has recommended that the Company’s shareholders, at the Western Digital special meeting (the “Special Meeting”) to be held on March 15, 2016, vote “FOR” the proposal to issue Western Digital common stock to acquire SanDisk Corporation (“SanDisk”) pursuant to the Agreement and Plan of Merger, dated as of October 21, 2015, by and among the Company, a wholly owned subsidiary of the Company and SanDisk. ISS has also recommended that Western Digital shareholders vote “FOR” all other proposals to be considered at the Special Meeting. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
