The following information is furnished pursuant to Item 2.02 of Form 8-K, “Results of Operations and Financial Condition,” and Item 7.01 of Form 8-K, “Regulation FD Disclosure.”

On February 29, 2016, Federal-Mogul Holdings Corporation (the “Company”) issued a press release reporting its financial condition for fourth quarter and year ended December 31, 2015. A copy of this press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.

On February 29, 2016, the Company announced that it received a proposal from its majority shareholder Icahn Enterprises LP (“IEP”) to purchase the shares of Federal-Mogul common stock not owned by IEP in a merger transaction pursuant to which the Company’s shareholders would receive $7.00 in cash for each of their Company shares, subject to the conditions set forth in a letter to the board of directors. A copy of the press release, including the text of the letter from IEP, is attached hereto as Exhibit 99.2 and incorporated herein by reference.
