Item 2.02. Results of Operations and Financial Condition.
On February 26, 2016, GrafTech International Ltd. (the "Company") issued a press release. A copy of this press release is furnished herewith as exhibit 99.1. Such press release shall not be deemed "filed" for purposes of Section 18 of the Securities and Exchange Act of 1934 and shall not be incorporated by reference in any filing under the Securities Act of 1933 except as shall be expressly set forth by specific reference in such filing.
Item 8.01. Other Events.
On February 26, 2016, the Company also issued a press release announcing that it plans to realign its two business segments. Refractory products will be included in the Engineered Solutions business segment and Advanced materials products will now be a component in each business unit where these products are produced. The company also announced that it has initiated a strategic review of its Engineered Solutions business segment. There can be no assurance that the review of strategic alternatives will result in a transaction. A copy of the press release is furnished as Exhibit 99.2 hereto and is incorporated herein by reference.
