Item 2.02 Results of Operations and Financial Condition
On February 26, 2016, The Empire District Electric Company (the “Company”) issued a press release revising the Company’s earnings guidance range lower for 2016 reflecting the impact of transaction costs that will be associated with the Agreement and Plan of Merger with Liberty Utilities, a subsidiary of Algonquin Power & Utilities Corp., of which approximately 50% will be payable in 2016. Furnished herewith as Exhibit 99.1 is a copy of the press release, which is incorporated by reference herein.
