Item 5.05 Amendment to Registrant’s Code of Ethics, or Waiver of a Provision of the Code of Ethics.
On February 19, 2016, the Board of Directors of Stillwater Mining Company (the “Company”) amended and restated the Company’s Business Ethics & Code of Conduct that applies to all of the Company’s directors, officers and employees. The principal purpose of the amendment and restatement was to provide additional guidance to covered personnel regarding available channels for reporting possible violations, and to make other technical and administrative changes. The revisions did not relate to or result in any waiver, explicit or implicit, of any provision of the Business Ethics & Code of Conduct.
The foregoing description of the amended and restated Business Ethics & Code of Conduct does not purport to be complete, and is qualified in its entirety by reference to such documents, a copy of which is attached to this report as Exhibit 14.1.
