Item 8.01. Other Events.
On February 24, 2016, Owens Corning (the “Company”) issued a press release announcing that the Company has signed an agreement to acquire InterWrap, a leading manufacturer of roofing underlayment and packaging materials, for US$450 million. The transaction, which is subject to regulatory clearance, is anticipated to close in the first half of 2016.
A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
