Item 2.02 | Results of Operations and Financial Condition. |
On February 24, 2016, Masonite International Corporation (the "Company") issued a press release announcing its financial results for the three months and year ended January 3, 2016. A copy of the press release is being furnished as Exhibit 99.1 and is hereby incorporated herein by reference.

On February 23, 2016, the Company's Board of Directors approved a share repurchase program pursuant to which the Company may repurchase from time to time up to $150 million of its outstanding common shares. On February 24, 2016, the Company issued a press release announcing the stock repurchase program, a copy of which is filed as Exhibit 99.2 to this Current Report on Form 8-K and is incorporated herein by reference.
