Item 2.02 Results of Operations and Financial Condition.

On February 17, 2016, pursuant to the terms of Recro Pharma, Inc.’s (the “Company”) credit agreement with Orbimed Royalty Opportunities II, LP, the Company paid approximately $2.6 million, 50% of the free cash flow generated during the fourth quarter of 2015 by the Company’s subsidiary, Recro Gainesville, LLC, against the outstanding principal on its senior secured term loan. As of February 22, 2016, the Company has paid, in the aggregate, approximately $19.0 million, or 38% of the original $50.0 million of senior secured term loan, from free cash flow generated during the 2015 fiscal year by Recro Gainesville LLC. The information set forth under this Item shall be deemed to be filed for purposes of Section 18 of the Securities Exchange Act of 1934.
