Item 7.01 Regulation FD Disclosure.

On Friday, February 19, 2016, after the stock market close, the Centers for Medicare and Medicaid Services (“CMS”) issued its 2017 Medicare Advantage and Part D Advance Notice and Draft Call Letter (the “Advance Notice”) detailing preliminary 2017 payment rates and proposed policy changes impacting payment rates. CMS has invited public comment on the Advance Notice before releasing final rates on April 4, 2016.

The rate notice does not include several important elements needed to fully evaluate the impact on Humana’s 2017 business, including the potential negative impact from changes in encounter data submissions on risk adjusted revenue as well as the final impact of FFS county rebasing. However, prior to the impact of the two items above, our preliminary analysis of the elements included in the Advance Notice suggest an increase of approximately 0.2% for its 2017 Medicare Advantage payment rates, compared to the published average industry estimate from CMS of an increase of 1.35%. The lower increase for Humana versus CMS’ estimated industry average is primarily driven by proposed changes to the risk coding model as well as the impact of Star ratings for 2017.

In prior years the final impact of fee-for-service county rebasing has impacted the Company’s rates in the range of (0.2%) to (0.8%) for Humana between 2013 and 2016. We are unable to determine the impact of the change in encounter data submissions on our risk scores, though we believe this to be a negative impact to Humana as well as to the industry as a whole.

The Company is carefully evaluating the potential impact of the Advance Notice and the temporary suspension of the non-deductible health insurance industry fee upon its growth in both its Medicare membership and its earnings for 2017.

Humana will be drawing upon its program expertise to comment on the impact of the Advance Notice and the related impact upon Medicare beneficiaries’ quality of care and service to its members through the Medicare Advantage program.

The merger with Aetna is subject to various closing conditions, including governmental and regulatory approvals as well as other uncertainties and there can be no assurances as to whether and when it may be completed.

If we do not design and price our products properly and competitively, if the premiums we receive are insufficient to cover the cost of health care services delivered to our members, if we are unable to implement clinical initiatives to provide a better health care experience for our members, lower costs and appropriately document the risk profile of our members, or if our estimates of benefits expense are inadequate, our profitability could be materially adversely affected. We estimate the costs of our benefit expense payments, and design and price our products accordingly, using actuarial methods and assumptions based upon, among other relevant factors, claim payment patterns, medical cost inflation, and historical developments such as claim inventory levels and claim receipt patterns. We continually review estimates of future payments relating to benefit expenses for services incurred in the current and prior periods and make necessary adjustments to our reserves, including premium deficiency reserves, where appropriate. These estimates, however, involve extensive judgment, and have considerable inherent variability because they are extremely sensitive to changes in claim payment patterns and medical cost trends, so any reserves we may establish, including premium deficiency reserves, may be insufficient.
