Item 8.01.             Other Events.

On February 18, 2016, PRA Holdings , Inc., a subsidiary of PRA Health Sciences, Inc., issued a press release to announce that it has commenced a tender offer (the “Tender Offer”) to purchase for cash up to $75.0 million aggregate principal amount of its 9.500% Senior Notes due October 1, 2023. A copy of the press release related to the Tender Offer is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
