On February 18, 2016, Commercial Metals Company (“CMC”) announced the expiration and results of its previously announced concurrent tender offers (each, an “Offer” and collectively, the “Offers”): (1) an Offer to purchase for cash up to $100,000,000 aggregate principal amount of CMC’s outstanding 6.50% Senior Notes due 2017 and (2) an Offer to purchase for cash up to $100,000,000 aggregate principal amount of CMC’s outstanding 7.35% Senior Notes due 2018. The Offers expired at 11:59 P.M., New York City Time, on February 17, 2016.
A copy of the press release announcing the expiration and results of the Offers, which describes the results of the Offers in greater detail, is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
