Item 8.01 – Other Events.
On February 17, 2016, Ashford Hospitality Prime, Inc. issued a press release in response to a press release issued by Sessa Capital ("Sessa") regarding statements made to The New York Stock Exchange, as well as Sessa's preliminary proxy statement filed with the U.S. Securities and Exchange Commission on February 12, 2016. A copy of this press release is attached hereto as Exhibit 99.1.
