Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On February 11, 2016, the board of directors of Hancock Fabrics, Inc. (the “Company”) approved a change of the Company’s fiscal year end for the 2015 fiscal year from the last Saturday in January to February 1. As a result, the Company’s most recent fiscal year ended on February 1, 2016 instead of January 30, 2016. The period from January 30, 2016 to February 1, 2016, will be included as part of the results for the Company’s 2015 fiscal year and no separate transitional report will be filed pursuant to Rule 13a-10 or Rule 15d-10 of the Securities Exchange Act of 1934, as amended.
