| ITEM 2.02 | RESULTS OF OPERATIONS AND FINANCIAL CONDITION |
After the close of trading on the New York Stock Exchange on February 16, 2016, Cimarex Energy Co. (“Cimarex”) announced its fourth quarter and full year 2015 financial results. Cimarex also announced after market close on February 16, 2016 its 2016 capital plans. These news releases are included in this report as Exhibits 99.1 and 99.2.

After the close of trading on the New York Stock Exchange on February 16, 2016, Cimarex issued a news release reporting its financial results for the fourth quarter and full year 2015. Cimarex also announced after market close on February 16, 2016 its 2016 capital plans. Copies of these news releases are furnished as Exhibits 99.1 and 99.2 to this report.
