Item 2.02. Results of Operations and Financial Condition.

On February 3, 2016, Alpha and Omega Semiconductor Limited (the “Company”) issued a press release regarding its financial results for its fiscal second quarter of 2016 ended December 31, 2015. A copy of the press release is furnished herewith as Exhibit 99.1 and is incorporated by reference herein. On the same day, the Company is holding an investor teleconference and webcast, which includes management’s prepared remarks regarding the financial results for the fiscal second quarter of 2016. The script of such prepared remarks is furnished herewith as Exhibit 99.2 and is incorporated by reference herein.
