Item 2.02. Results of Operations and Financial Condition.

On February 2, 2016, Tessera Technologies, Inc. (the “Company”) announced its financial results for the fourth quarter of 2015. A copy of the Company’s press release announcing these financial results and other information regarding its financial condition is attached hereto as Exhibit 99.1 to this Form 8-K.

The information in this report, including Exhibit 99.1, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities under that Section and shall not be deemed to be incorporated by reference into any filing of the Company under the Securities Act of 1933, as amended, or the Exchange Act.

 

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(e) On January 27, 2016, the Compensation Committee of the Board of Directors of the Company approved an increase in the annual base salary for Craig Mitchell, who serves as President of Invensas Corporation, to $305,000, effective March 1, 2016. Mr. Mitchell’s incentive cash bonus target under the Company’s 2012 Performance Bonus Plan for Executive Officers and Key Employees remains at 50% of Mr. Mitchell’s base salary level.
