(b) During The Dow Chemical Company’s (the “Company”) 4Q15 Earnings Conference Call and Webcast held February 2, 2016, the Company announced the planned transition out of the Company of Chair and CEO Andrew N. Liveris. The transition will occur on the earlier of the material completion of the anticipated spins following closing of the announced DowDuPont merger transaction or June 30, 2017.

In connection with the proposed transaction, The Dow Chemical Company (“Dow”) and E. I. du Pont de Nemours and Company (“DuPont”) will cause Diamond-Orion HoldCo, Inc.
