On January 27, 2016, Astoria Financial Corporation (the “Company”) issued a press release which, among other things, highlights the Company’s financial results for the fourth quarter and full year ended December 31, 2015. A copy of the press release is furnished herewith as an exhibit to this report.

Astoria further announced in its press release dated January 27, 2016 that the Board of Directors, at their January 27, 2016 meeting, declared a quarterly cash dividend of $0.04 per share. The cash dividend is payable on March 1, 2016 to shareholders of record as of February 12, 2016. A copy of the press release is furnished herewith as an exhibit to this report.
