(b) On January 19, 2016, Michael Dooley notified USMD Holdings, Inc. (the “Company”) of his intention to resign from his position as Interim Chief Accounting Officer of the Company. His resignation is effective as of January 29, 2016. Jim Berend, the Company’s Chief Financial Officer, will assume Mr. Dooley’s duties until a new Chief Accounting Officer is appointed.
