Item 8.01 Other Events.
On January 21, 2016, Rex Energy Corporation (“Rex Energy”) issued a press release announcing that it has suspended payment of its quarterly dividend on shares of its 6.0% Series A convertible perpetual preferred stock. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
