Submission of Matters to a Vote of Security Holders.
|
We held a special meeting of stockholders on January 19, 2016. At the meeting, the stockholders approved an amendment to the 2013 Stock Incentive Plan to increase the number of authorized shares of common stock reserved for issuance thereunder from 5,000,000 shares to 8,000,000 shares. The vote for the matter was 13,344,592 shares for, 6,880,338 shares against, 925,263 shares abstaining and no broker non-votes.
